Terms, cancellation, and privacy — AI Assessment Snapshot & Groove Logic Growth System

Plain language, not a wall of legalese. If something here is unclear on a call, ask — we’ll fix the wording, not just the answer.

Approved and finalized. §7 (dispute resolution) has now been reviewed with counsel, matching the language in the Groove Logic Growth System MSA.

1. The AI Assessment Snapshot (one-time)

What it is: one scoped diagnostic session plus a written Snapshot report and a report-review call, for the flat fee shown at booking ($997 as of this draft). Payment is collected up front via the Stripe link on the booking page.

What it is not: implementation, custom development, software purchase, integrations, data migration, or ongoing support. It is not legal, tax, financial, cybersecurity, or medical advice.

2. Rescheduling and cancellation — Snapshot

  • Reschedule: free, any time up to 24 hours before the scheduled session — just reply to the confirmation email.
  • Cancel with 24+ hours’ notice: full refund, no questions asked.
  • Cancel with less than 24 hours’ notice, or a no-show: the fee is retained, since the session time was held and prep work may already be underway. One exception can be made per client for a genuine emergency.
  • Once the session has happened: the fee is earned and the report will be delivered; it is not refunded for not liking the findings. (The findings themselves come with no promised outcome — see §1.)

3. The Groove Logic Growth System (recurring)

  • Billing: monthly, in advance, at the tier selected (Starter / Growth / Scale).
  • Term: month-to-month. No long-term contract by default.
  • Cancellation: cancel any time with 30 days’ written notice (an email to [email protected] is enough). Access continues through the end of the notice period; no partial-month refund for the notice period itself.
  • If you cancel: you may be offered the option to keep the underlying tools/data running at a reduced monthly fee instead of losing access outright — that offer, if made, will always be optional and clearly priced separately, never automatic.
  • Tier changes: you can move up or down a tier at your next billing date as your team size changes; no penalty either direction.

4. What we ask you not to share

Please do not send passwords, API keys, financial account numbers, government ID numbers, health information, or other sensitive/regulated records — during the Snapshot, the discovery process, or as part of the Growth System. If something like that is ever needed for a specific piece of work, we’ll ask for it through a secure, purpose-built method at that time, not by email or in a form.

5. Privacy — what we collect and what we do with it

The intake form and booking flow collect: your name, business name, email, and a description of the workflow you want looked at. That information is used only to prepare for and deliver your Snapshot or Growth System service, and to follow up with you about it.

  • We don’t sell your information or share it with third parties for their own marketing.
  • We don’t add you to a newsletter or drip sequence from this form — you get a personal reply, and nothing else, unless you separately opt in to something else later.
  • Information you share during a Snapshot session about your business is used only to prepare your report, and is not shared outside Groove Logic Group without your permission.
  • You can ask at any time what we have on file for your business and ask us to delete it, by emailing [email protected].

6. Taxes

Researched, not yet CPA-confirmed — treat as a strong starting point, not a filed position. South Carolina doesn’t tax most professional/consulting services outright — it taxes tangible personal property plus a specific, enumerated list of services (repair, certain communications services, and, by Department of Revenue ruling, software accessed remotely through a browser — “Application Service Provider” access — treated as a taxable communications service under SC Revenue Rulings 05-13 and 12-1).

Applied to these two offers specifically:

  • The Snapshot — a diagnostic session and a written report, no software access delivered — falls on the professional-services side and is very likely not taxable.
  • The Growth System — ongoing access to a hosted system through a browser — matches the ASP/SaaS pattern SC has specifically ruled taxable. Likely subject to sales tax.
  • South Carolina is destination-based: the rate charged depends on where the customer is located, not on Columbia. The state rate is 6%, and counties add up to 3% more locally — Richland County (Columbia) is 8% combined, but a client elsewhere in SC could sit at a different combined rate.
  • If a Growth System client ever also gets meaningful hands-on consulting bundled in, keeping that itemized as a separate line from the platform-access fee on the invoice is what SC guidance points to for keeping the consulting piece untaxed — bundling it in undifferentiated risks pulling the whole thing under the taxable side.

This is a solid, sourced starting point (see the session log for the source links), not a filed tax position — get it confirmed by your CPA once one’s engaged (Phase 0 of the charter), and before it’s treated as settled here.

7. Governing Law and Disputes

These terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.

(a) Informal Resolution

Before filing a formal claim, you and Groove Logic Group Inc. agree to try to resolve any dispute informally. You can initiate this process by emailing a notice of your dispute to [email protected]. The receiving party will have ten (10) business days to respond and attempt resolution before either party may escalate the dispute.

(b) Agreement to Arbitrate

Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Columbia, South Carolina.

(c) Fees and Costs

The prevailing party in any such arbitration or permitted legal action is entitled to recover its reasonable attorney’s fees, expert witness fees, and arbitration costs from the non-prevailing party.

(d) Class Action Waiver

You may only resolve disputes with us on an individual basis. You explicitly waive any right to bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

(e) Injunctive Relief

Notwithstanding anything to the contrary in these terms, Groove Logic Group Inc. may seek immediate injunctive or other equitable relief in any court of competent jurisdiction located in Richland County, South Carolina, to protect its intellectual property, data security, or proprietary rights, without the requirement to engage in any prior informal resolution or waiting period.

8. Changes to these terms

These terms may be updated from time to time; the version in effect at the time you book governs that engagement. Material changes affecting an active Growth System subscription will be communicated by email at least 30 days before they take effect.
